1.  Korea as a Service Delivery Center After US-Korea Free Trade Agreement (KORUS FTA). President Barack Obama signed the Korean-U.S. Foreign Trade Agreement (KORUS FTA) on October 21, 2011 and it was ratified by Korea’s National Assembly on November 22, 2011.  It is now in force.

Separate from the generally applicable multilateral obligations of the two countries under WTO trade agreements, the KORUS FTA opens new doors for service providers in Korea to compete with India, Latin America, Canada and other locations for contracts to deliver data processing and BPO services to U.S. customers.   While Korea’s wage levels are comparatively high relative to other destinations, Korea can be expected to compete effectively in niche areas such as banking, finance, insurance and manufacturing support services.

What’s new, beyond the multilateral free-trade framework under the WTO, NAFTA and the EU, compared to other U.S. bilateral free-trade agreements?  The KORUS FTA offers a few embellishments on the concept of admitting individuals for specific FTA-qualified visa categories (as under NAFTA).  The KORUS FTA adds specific protections for conducting services businesses generally, including professional services licensure (lawyers, doctors, engineers, like NAFTA’s list).  The agreement covers the “electronic supply of services,” “digital products,” electronic authentication, e-signatures and e-documents as instruments of bilateral e-commerce.  Most significantly, the KORUS FTA hints at a new paradigm for bilateral FTA’s since it includes the principle that privacy laws will not be used for protectionism.  For more, click here.

1.  Belt and Suspenders, and From SOX to SOC’s: Changes in Service Audit Standards on the Service Organization’s Risk Management, Security and Process Controls. How do you know your service provider is providing a secure environment for processing your transactions?   Do you trust your service provider?  Can you certify your outsourcing relationship can withstand a shareholder lawsuit claiming you lack the necessary audit and control functions?   Do you want a report on the description, design and operational effectiveness of controls at a service organization, and what do you get under current and future auditing, attestation and accounting “standards.”

SAS 70 Type II audits have become the de facto standard for publicly traded companies to meet their SOX 404(b) “audit and control” disclosure requirements.  SAS 70 audits are big business for audit firms.  Now, as the U.S. “generally accepted accounting principles” face convergence into new international accounting standards (IAS), enterprise customers risk losing familiar comfort letters.  The emerging accounting standards suggest it’s time to think about “belt and suspenders” for security and process controls.  This article considers the new approach to mitigating and managing risks through “control objectives” as “attested” in “service organization control” (SOC) reports for service organizations and subservice organizations in the services supply chain.  This new approach comes into effect for fiscal years ending after June 2011. (1) fast-track system in Florida courts for adjudication of foreclosures at the rate of 20 per hour, 7 hours a day, 5 days a week, per judge, unless service levels degrade for non-essential activities such as extra time for hearing evidence; (2) the swift and decisive hand of justice, meted out to fight the swift and decisive hand of the Robo-Signer.

Robo-Signer, n. (1) a person appointed by a bank or mortgage origination service company to sign thousands of loan documents per week; (2) phantom performing fiduciary duty in a totally automated, human-free mechanism, with computer-generated rubber-stamped documents and corresponding human signatures; (3) human automaton approving computer outputs.   See “Robo-Justice.

In the aftermath of the recession, government regulators are looking at new ways to protect the financial information of consumers and businesses alike.  This issue examines the potential impact of what a new Consumer Financial Protection Agency Act  could mean for service providers, enterprise customers, and related outsourcers.

1.  Financial Services Outsourcing: New Roles and Risks under a Consumer Financial Protection Agency. The financial services industry is facing major regulatory changes following the global sub-prime credit crisis and ensuing recovery plans.  These changes will have a major impact on outsourcers that deal with consumer financial information or in back-office support for financial investment transactions that are deemed unfair, deceptive or abusive.  The adoption of a new Consumer Financial Protection Agency Act would not only have a significant negative impact on the risks and costs of outsourcing of IT and business process functions by companies that deal with consumers.  It would invite a new view of risk allocation between enterprise customers and independent contractors as outsourcers, increasing the costs of doing business by putting the service provider into a new role of whistleblower.  It remains to be seen whether the analysis of public policy in this arena will spill over into other industries and other types of outsourcing.   For the complete article, http://www.outsourcing-law.com/2010/05/financial-services-outsourcing-new-roles-and-risks-under-a-consumer-financial-protection-agency/

2.  Online Form Builder for Consumer Privacy Notices. The privacy of consumer financial transactions was a cornerstone of the Gramm-Leach-Bliley Act (GLB).  Eight U.S. federal regulators are responsible for enforcing the GLB privacy rule….On April 15, 2010, the eight federal regulators released an Online Form Builder that regulated financial institutions can download and use to develop and print customized versions of a model consumer privacy notice.  For more see this link: http://www.outsourcing-law.com/2010/05/online-form-builder-for-consumer-privacy-notices/
