Chief Legal Officer
The enterprise’s General Counsel has responsibility for ensuring that the enterprise complies with applicable laws, rules and regulations, and that its contracts with service providers reflect the enterprise’s fundamental operating policies. Normally, the enterprise’s Chief Learning Officer works with specialist legal counsel to identify internal policies and procedures that need to be included in the outsourcing documents. These matters include questions relating to
- representations and warranties,
- proper description of the services and procedures for ongoing operations under the outsourcing arrangement,
- management of intellectual property, and the
- management of risks through appropriate exclusions, limitations, indemnities, insurance and dispute resolution mechanisms.
