Choice of Law

In a contract, a choice of law by the parties fills the gaps not contemplated by the contract. Choice of law needs to comply with public policy, but otherwise is enforceable.

In outsourcing, choice of law provisions are used to guide the parties to a logical and predictable conclusion of a dispute that cannot be resolved under the ordinary “dispute resolution” or “relationship governance” provisions.
