Conditions of acceptance of legal news and articles for publication

NOTE:     Publisher has no duty to accept or retain copies of any submitted work of authorship.

1.     License to Publish.  By submitting content for publication, each author grants to the Publisher a perpetual license to republish the work of authorship in the Outsourcing Law & Business Journal and at www.outsourcing-law.com in such format as Publisher may deem appropriate.  Author may revoke this license upon notification that the work contains specified errors existing as of the date of the original submission.  Publisher may remove the article from such publications at any time without notice.  Removal might not prevent third parties from republishing cached versions of www.outsourcing-law.com after the change.

2.    Editorial Changes.  Publisher may make editorial changes of a non-substantive nature, particularly to improve readability, proper diction and grammar.

3.     Author's Warranties.  The author warrants, and indemnifies Publisher and Publisher's personnel for claims, costs, expenses, losses and liabilities if it is not accurate, that:

a.    the work of authorship submitted for publication was created by the individually named authors, do not infringe any intellectual property or privacy rights of third parties and do not contain any privileged, confidential or trade secret materials.

b.    at the time of submission, the author is duly admitted to practice law in the jurisdiction identified in the work

c.    for any submitted text not in English, Publisher is deemed merely a conduit and internet service provider and is not exercising any editorial review, and Publisher reserves all rights limiting its liability for acting as such, and at least one of the authors (or a member of the law firm of the author(s)) is fluent in English and understands and has advised the authors on the terms of submission.

4.    Governing Law.  The submission is governed by New York law.  Any disputes relating to the submission, publication, content or impact of the work or the relationship of the parties will be decided exclusively by an arbitrator in New York City under the arbitration rules of the American Arbitration Association.  These terms set forth the entire and exclusive understandings and agreements of the parties, and all verbal discussions and agreements are superseded.

5.    Changes.  Publisher may post changes to these conditions for future application.

For reference, Publisher is Outsourcing Law Global, LLC, a Delaware limited liability company, for which William B. Bierce is presently the sole Manager.  Publisher's personnel refers to the current, past and future owners, managers, agents and employees of Publisher and any law firm with which any such person is affiliated currently, formerly or hereafter.
